These are as for the Everyman Basic Articles except that they also:-
- anticipate a potential limit on new shares issues so that shareholder consent is needed;
- include pre-emption on share transfers (except for founder-shares) with employee buy-back at fair value;
- provide for the valuer to be chosen by the Board; and
- include Drag Along to protect the founder entrepreneur(s).
