A very short (two page) mutual confidentiality agreement intended for use where two parties, both of whom may disclose confidential information, are proposing to enter into discussions for a particular purpose (e.g. possibly entering into a commercial contract). Confidential information is described in the agreement as follows:
‘information about the business, customers, suppliers, employees and future plans of the Disclosing Party, in a form from which any person, company or organization can be identified’
This agreement is not suitable for the protection of trade secrets or patentable inventions, which are valuable in their own right without identifying the company to which they relate. The agreement covers unauthorised use as well as disclosure, exceptions from the duty of confidentiality and the applicable law.
